The proposed transaction raised a number ofcompetition issues and the Commission evaluated the pleadings carefully to determine whether the proposed transfer ofcontrol of Centennial's licenses, spectrum leasing arrangements, and authorizations to AT&T Mobility would serve the public interest, convenience, and necessity. This evaluation included a thorough review ofthe considerations raised in your letter. On November 5, 2009, approximately three weeks after the U.S. Department ofJustice completed its review ofthis matter, the Commission acted expeditiously and adopted a Memorandum Opinion and Order approving the transaction with conditions, including divestiture of Centennial's wireless operations in seven local areas in Louisiana and Mississippi. The Commission also accepted several voluntary commitments made by AT&T, and imposed those commitments as conditions ofthe approval. I appreciate your interest in this impOliant matter.
