STREAMLINED PLEADING CYCLE ESTABLISHED WC Docket No. 10-220 Comments Due: November 9, 2010 Reply Comments Due: November 16, 2010 On October 19, 2010, Beaver Creek Telephone Company d/b/a Timberline Telecom (Timberline), Skyline Telecom, Inc. (Skyline), and North-State Telephone Co. (North-State) (collectively, Applicants) filed an application pursuant to section 63.03 of the Commission’s rules to transfer control of Timberline to North-State. 1 Timberline, a Washington corporation, is a rural incumbent local exchange carrier (LEC) serving approximately 28 access lines in the Silverton exchange in northwest Washington. Timberline wholly owns Skyline, a Washington corporation and rural incumbent LEC serving approximately 139 access lines in the Mt. Hull exchange in north central Washington. The following U.S. citizens each own 20 percent of the equity of Timberline: Marilyn May, Deborah Bott, Suzanne Wilson, Pamela Smith, and Catherine Hendrickson. North-State, an Oregon corporation, is a rural incumbent LEC serving approximately 486 access lines in the Dufur exchange in north central Oregon. Applicants state that the Silverton, Mt. Hull, and Dufur exchanges have, in combination, far fewer than two percent of the nation’s subscriber lines installed in the aggregate nationwide and are not adjacent to each other. Applicants state that over 95 percent of the stock of North-State is held by Oregon Telephone Corporation (OTC), an Oregon corporation. Leonard May and Garrin Bott, both U.S. citizens, each own, directly and indirectly, 50 percent of the equity of OTC. North-State owns 14 percent of the stock of OTC, which leads to amounts held indirectly by Mr. May and Mr. Bott. Applicants state that no other person or entity owns 10 percent or more of the equity of OTC or North-State. Pursuant to the terms of the proposed transaction, North-State will acquire all of the stock of Timberline and will therefore acquire both the Silverton and Mt. Hull exchange areas. Applicants assert that the proposed transaction is entitled to presumptive streamlined treatment under section 63.03(b)(2)(iii) of the Commission’s rules and that a grant of the application will serve the public interest, convenience, and necessity.2 1 47 C.F.R § 63.03; see 47 U.S.C. § 214. GENERAL INFORMATION The Wireline Competition Bureau finds, upon initial review, that the transfer of control identified herein is acceptable for filing as a streamlined application. The Commission reserves the right to return any transfer of control application if, upon further examination, it is determined to be defective and not in conformance with the Commission’s rules and policies. Pursuant to section 63.03(a) of the Commission’s rules, 47 C.F.R. § 63.03(a), interested parties may file comments on or before November 9, 2010, and reply comments on or before November 16, 2010.
